What Is Guard-Clause?

Guard-Clause is an AI-powered contract analysis platform that reads every clause of your contract and surfaces the risks that matter. Upload a PDF, DOCX, or plain-text contract and receive clause-level risk analysis, negotiation scripts, replacement language, and an overall risk score — in minutes, not billable hours.

In the structured-data layer, Guard-Clause is typed as a DefinedTermSet — a software reliability methodology for contract comprehension. It is not simply a SaaS tool; it is a systematic approach to making contract language accessible, auditable, and actionable for anyone who signs agreements as part of their work.

The Problem We Solve

Contracts are expensive to review and easy to sign blind. A single attorney review of a standard agreement can cost hundreds to thousands of dollars. Freelancers, founders, and small teams often skip legal review entirely — not because they do not care, but because the cost and turnaround time make it impractical for every agreement they encounter.

The result is predictable: people sign contracts they do not fully understand. Non-compete clauses silently limit career mobility. IP assignment provisions transfer ownership of side projects. Auto-renewal terms lock businesses into unfavorable agreements. Liability caps disappear, leaving one party exposed to unlimited damages. These are not edge cases — they are standard clauses buried in standard contracts.

Guard-Clause exists to close that gap. By applying AI analysis at a fraction of the cost and time of traditional review, we make it practical to understand every contract before you sign it — not just the ones you can afford to send to a lawyer.

How It Works

The workflow is intentionally simple. Upload your contract — PDF, DOCX, or plain text — and Guard-Clause extracts the full document text. The AI reads every clause, identifies risk patterns, and produces a structured analysis that includes:

  • Clause-level findings with direct citations (excerpt, section, page number)
  • Severity ratings (high, medium, low) for each identified risk
  • Negotiation scripts — language you can use in your next conversation with the other party
  • Replacement clauses — alternative language you can propose as a starting point
  • An overall risk score (0–100) based on the severity and count of findings
  • Role-specific analysis tailored to freelancers, founders, employees, or agencies

Privacy Architecture

Guard-Clause is built with privacy as a structural constraint, not a policy promise. By default, your contract is not stored. The uploaded file is read into server memory, text is extracted, and the file buffer is discarded immediately. Extracted text is held in an ephemeral Redis cache with a 15-minute time-to-live. After analysis completes — or after 15 minutes, whichever comes first — the cached text is automatically deleted.

If you choose to save your report, only the AI-generated analysis (risk score, findings, negotiation pack) is stored. The original contract text is never retained. You can delete saved reports at any time from your dashboard. No contract text is written to server logs, and all connections use TLS 1.3 encryption.

Who Built Guard-Clause

Ali Morgan is the founder of Jonomor, a systems architecture studio, and the builder behind multiple infrastructure products including XRNotify for XRPL monitoring, Guard-Clause for software reliability, EvenField for education technology, H.U.N.I.E. for AI agent infrastructure, MyPropOps for operational platforms, and The Neutral Bridge for financial infrastructure research.

The motivation behind Guard-Clause came from firsthand experience. After encountering contracts with buried non-compete clauses, aggressive IP assignment provisions, and liability structures that no reasonable person would agree to if they understood them, it became clear that the barrier to contract comprehension was not willingness — it was access. Guard-Clause makes that access practical.
