Data Ownership Ambiguity

The agreement may grant the vendor broad rights to use, analyze, or aggregate your data — including for training AI models, benchmarking, or resale. 'Your data' and 'derived data' may be defined differently.

No SLA or Uptime Guarantee

§4 — Service Availability

There's no committed uptime percentage, no service level agreement, and no remedies if the platform goes down. Your business depends on a service with no contractual reliability promise.

Auto-Renewal with Price Increases

The contract auto-renews for 12 months unless you cancel 30–90 days before expiry. The vendor can increase pricing at renewal with minimal notice.

Limitation of Liability Below Contract Value

The vendor's total liability is capped at fees paid in the last 3 months — not the full contract value. If their platform causes you a major loss, recovery is minimal.
