Uncapped Indemnification
§8 — Indemnification
You're required to cover all claims, damages, and legal fees arising from the vendor's work — with no cap. The vendor has no matching obligation.
Auto-Renewal Lock-In
§10 — Term & Renewal
The contract auto-renews for 12 months unless you provide written notice 60–90 days before expiry. Miss the window and you're locked in for another year.
Vendor Can Change Terms Unilaterally
§12 — Amendments
The vendor reserves the right to modify pricing, service levels, or terms with 30 days notice. Your only remedy is to terminate — and pay an early termination fee.
Limited Remedies on Service Failure

If the vendor fails to deliver, your only remedy is a service credit — not a refund, not termination rights, not damages. Credits are capped at one month's fees.
